Agreement to these terms

These terms are an agreement between FreightSetu and the company that signs up for an account. By creating an account, subscribing, or using FreightSetu, you confirm you are authorised to accept these terms on behalf of that company, and that the company agrees to them.

Throughout this page, “you” means that company, and “we” means FreightSetu. If you do not agree with these terms, please do not use the service.

Our Privacy Policy forms part of this agreement.

What FreightSetu provides

FreightSetu is software delivered over the internet for freight forwarders, NVOCCs and Customs House Agents. It is used to manage enquiries and quotations, shipments and containers, customers and vendors, documents, invoices and bills, sales activity, and the business communication around all of it.

We provide the tools. The commercial decisions you make with them - what you quote, what you invoice, what you send a customer - are yours. FreightSetu is not a freight forwarder, a customs broker, a carrier, an accountant or a legal adviser, and nothing in the product is professional advice.

Compliance features

FreightSetu includes GST-aware invoicing and document handling built for Indian requirements. We work to keep these correct, but you remain responsible for the accuracy of what you file and issue. Please have your accountant or compliance adviser review your setup.

Accounts and your team

• You must give accurate registration information and keep it current.
• You are responsible for everything done under your account, including by your staff.
• Keep credentials confidential. Tell us promptly if you suspect unauthorised access.
• Your administrator controls who joins your account and what each role may do - including who may connect mailboxes and who may send email from a shared one.
• Accounts are for your company and its staff. Do not share a login between people or resell access.

Your data stays yours

You own the data you put into FreightSetu - your customers, vendors, rates, shipments, invoices, documents and communication records. We claim no ownership of it.

You grant us the permission we need to host, process, transmit, back up and display that data in order to run the service for you, and to provide support when you ask for it. That permission exists only to operate FreightSetu and ends when your data is deleted.

Data about other people

Much of what you store is information about your customers, vendors and their staff. You confirm you have the right to provide it to us and to use FreightSetu to contact those people, and that you will do so in line with applicable data-protection law.

Export and deletion

You can export your records while your account is active, and ask us to delete your account and data at any time. See the deletion section of our Privacy Policy for how that works and what we may be required to retain.

Acceptable use

You agree not to:

• Use FreightSetu for anything unlawful, fraudulent, or in breach of trade, sanctions, customs or export-control rules.
• Upload malware, or content you do not have the right to upload.
• Attempt to access another company's data, probe or bypass our security, or interfere with the service.
• Reverse engineer, copy or resell the platform, or use it to build a competing product.
• Scrape or bulk-extract data by automated means beyond your normal use of the product and its API.
• Impersonate another business or person, including by sending email that misrepresents who it is from.
• Place unreasonable load on the service, or circumvent limits on your plan.

Sending email through FreightSetu

FreightSetu can send business email from a mailbox you connect. That mailbox is yours, so mail sent through it is yours too - it goes out under your name and your domain's reputation, not ours.

Your responsibilities

• You are solely responsible for the content of every message sent from your account, and for who receives it.
• Only connect mailboxes you own or are authorised by their owner to use.
• Use it for legitimate business communication - invoices, quotations, shipment updates, documents and related correspondence with your counterparties.
• Do not use it for unsolicited bulk email, or for any purpose prohibited by anti-spam law such as India's applicable regulations, the CAN-SPAM Act or GDPR, whichever apply to your recipients.
• Honour unsubscribe requests. FreightSetu maintains a do-not-send list for your account; do not attempt to work around it.
• Your mail provider's own terms - Google's or Microsoft's - continue to apply, including their sending limits and acceptable-use rules.

What we do not guarantee

Sending through your own mailbox means delivery is between you, your mail provider and the recipient's. We can tell you that a message was accepted by your provider for sending. We cannot guarantee it was delivered, that it avoided a spam folder, or that it was read.

When open and click tracking is switched on, FreightSetu shows whether a message was opened and which links were clicked, and it always shows when a document sent as a secure link was downloaded. What this records is set out in the email tracking section of our Privacy Policy. Opens are approximate: many mail apps block images, and some load them automatically, so "Opened" is a strong hint, not proof that someone read the message. You are responsible for any notice or consent your recipients' laws require before engagement is measured.

Misuse of the email feature may lead us to disable it for your account, in addition to any action your mail provider takes.

Third-party services

FreightSetu connects to services you choose - Google, Microsoft, and payment or messaging providers. Your use of those services is governed by your agreement with them, not with us.

You can disconnect any connected service at any time. If a provider changes or withdraws access, some FreightSetu features may stop working, and that is outside our control.

Plans, fees and taxes

• Subscription fees are stated on your chosen plan and are billed in advance for the billing period.
• Fees are exclusive of GST and any other applicable taxes, which are added where required.
• Payment is due on the invoice date unless agreed otherwise in writing.
• Subscriptions renew for the same period unless cancelled before the renewal date.
• Except where required by law, fees already paid are non-refundable, including for a partial period after cancellation.
• We may change pricing with at least 30 days' notice before it applies to your next renewal.
• If payment is overdue we may suspend access after giving you notice and a reasonable chance to resolve it.

Trials

We may offer a free trial or a limited free plan. Trials are provided as they are, with no warranty and no guaranteed support, and we may change or end a trial at any time. At the end of a trial your data is retained for a reasonable period so you can subscribe or export it, after which it may be deleted.

Availability and support

We work to keep FreightSetu available and reliable, but we do not promise uninterrupted service. Planned maintenance, provider outages and events beyond our reasonable control can all affect availability.

Unless a separate written service-level agreement is in place, no uptime guarantee or service credit applies. Support is provided by email and phone during business hours, and we aim to respond promptly.

Confidentiality

Each side may learn confidential information about the other. Both agree to protect it with reasonable care, use it only for this agreement, and not disclose it - except to staff and providers who need it and are bound by similar obligations, or where disclosure is required by law.

This does not cover information that is public through no fault of the receiving side, was already known to it, or is independently developed.

Intellectual property

FreightSetu, including its software, design, branding and documentation, remains our property. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription - not ownership of it.

If you send us feedback or suggestions, we may use them to improve the product without obligation to you. This does not give us any right to your business data.

Suspension and termination

You may cancel at any time; cancellation takes effect at the end of your current billing period.

We may suspend or terminate access if you materially breach these terms, if your payment is significantly overdue, if your use threatens the security or stability of the service, or where required by law. Except in urgent cases, we will give you notice and a reasonable opportunity to put things right.

After termination you may request an export of your data for a reasonable period, after which it may be deleted. Sections that by their nature should survive - confidentiality, intellectual property, liability, indemnity and governing law - continue to apply.

Disclaimer of warranties

To the fullest extent permitted by law, FreightSetu is provided “as is” and “as available”. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the service will be uninterrupted or error-free, that defects will be corrected, or that the service will meet every requirement of your business. Nothing here excludes liability that cannot be excluded under applicable law.

Limitation of liability

To the fullest extent permitted by law, neither side is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or loss of data, even if advised such damages were possible.

Our total aggregate liability arising out of or relating to this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

These limits do not apply to fraud, wilful misconduct, or any liability that cannot be limited by law.

Indemnity

You agree to indemnify and hold FreightSetu harmless against claims, damages and reasonable costs arising from your use of the service in breach of these terms or applicable law, from the content you send through it, or from a claim that your data infringes someone else's rights.

Changes to the service and these terms

We improve FreightSetu continually, and features may be added, changed or withdrawn. Where a change materially reduces core functionality you rely on, we will give reasonable notice.

We may also update these terms. For material changes we will update the date at the top of this page and notify account administrators before they take effect. Continuing to use FreightSetu afterwards means you accept the updated terms; if you do not, you may cancel.

Governing law and disputes

These terms are governed by the laws of India. The courts of Gujarat, India have exclusive jurisdiction over any dispute arising from them, and both sides submit to that jurisdiction.

Before starting formal proceedings, please contact us so we can try to resolve the matter directly. Most issues are settled faster that way.

If any provision of these terms is found unenforceable, the rest remains in force. A failure to enforce a provision is not a waiver of it.
